Protecting shareholders ?

In recent days, MTN has been in the news headlines almost everyday. First, Bharti wanted to acquire/merge with it. Now Reliance wants to do the same...

But, what makes Reliance interested when Bharti has just walked away from a deal? Is it b'coz Reliance ADAG wants to a do big international deal for any reason other than "strategic". I sometimes wonder whether the talk about protecting shareholders is really something that CEO's/founders follow by the spirit. Will RCOM shareholders get real value out of this deal?

Another case in point is B&B. Is B&B protecting the shareholders or the underwriters by withdrawing its rights issue? By underwriting the issue, the banks have agreed to take a risk and must have got a decent payout for that (£37 million???). So they have entered this game, fully aware of all the implications. Now why should they be protected again...in the name of shareholders....
